CHIEFS OF POLICE ASSOCIATION OF NORTH DAKOTA 2-07
CONSTITUTION
 
ARTICLE
 
Name and Term of Association
 
     The name of this organization shall be known as the Chiefs of Police Association of North Dakota.  The term of the Association shall be perpetual.
 
ARTICLE II
 
Purpose
 
     The purpose of the Chiefs of Police Association of North Dakota shall be to promote the professional development of all executive and management personnel within duly constituted law enforcement agencies in the prevention of crime, detection of crime and the apprehension of those responsible for the commission of crimes; to promote the highest standards of police profession through selection and training of law enforcement officers and generally pledge and strive for the highest degree of respect for law and order throughout the State of North Dakota.
 
ARTICLE III
 
Membership
 
     Section 1.  Membership in this organization shall consist of three classes:  Active, Honorary and Associate.
     
     Section 2.  Active memberships shall consist only of those who serve as the Chief of Police of a duly constituted Municipal Police Department or a University or College Law Enforcement Agency in the State of North Dakota.
 
     Section 3.  Honorary memberships are awarded to those retired persons who were previously entitled to membership upon request to and approval of the Executive Board.  Notification of the awarding of honorary memberships may be made to the Association in a plenary session of any meeting.  Honorary memberships may also be awarded to any other persons who are recommended by the Executive Board or designated by the Annual Meeting Committee, and elected thereto by a 3/4 vote of the voting membership present at any meeting.  Honorary members shall be entitled to all privileges and benefits of the Association and shall not be required to pay dues.
 
     Section 4. Associate memberships shall consist only of those persons who are duly appointed or temporarily serve in an executive level law enforcement leadership position, as defined by the employing law enforcement agency, but are not eligible for Active membership as provided in Article III, Section 2.  Associate members shall be permitted to attend all meetings, participate in discussion, vote on matters coming before the association, be eligible to sere on any committee, and count at any time in determining a quorum or majority for any purpose.
 
     Section 5.  Each application for membership shall be made in writing and shall contain such information as prescribed by the Executive Board.  The application shall be presented by the Executive Director to the Executive Board, which shall approve or reject the application.
 
     Section 6.  The dues of the Association shall be determined by the Executive Board and shall be paid yearly on or before the 31st day of January.  First year dues for new members only, shall be prorated on a quarterly basis and should be paid upon application of membership.
 
     Section 7.  A member of the Association shall be considered suspended from active membership or associate membership when:
         a)  Except for retirement or disability, the member is no longer a Chief of Police as denoted in Article III, Section 2.
         b)  Except for retirement or disability, the member is no longer serving in an executive level law enforcement leadership                            position as denoted in Article III, Section 4.
         c)  Membership dues are unpaid as determined by the Executive Board.
 
Upon the elimination of the cause of the suspension, the suspended member may be reinstated by the Executive Board.
 
     Section 8.  A member of the Association shall be expelled for any activity subversive or detrimental to the best interest of the Association for the profession of law enforcement, upon a majority vote of the Executive Board of the Association.
 
 
ARTICLE IV
 
Officers of the Association
 
    Section 1.  The officers of the Association shall be:
 
                                     President
                                     1st Vice President
                                     2nd Vice President
                                     3rd Vice President
                                     Secretary
                                     Treasurer
 
    Section 2.  The Executive Board shall consist of all elected officers of the Association including the immediate Past President.  The Past President is an ex-officio voting member of the Executive Board.  The Past President may remain in place until the current President's term ends, unless the Past President  becomes unavailable or unable to serve, in which case, the position may be filled via appointment by the President from current active members or other past presidents.
 
    Section 3.  The President of the Association shall be the chairman of the Executive Board.  A majority of the Board shall constitute a quorum and their decision shall be governed by the majority vote of those present.
 
 
ARTICLE V
 
Election of Officers of the Association
 
     Section 1.  The officers of the Association shall be elected from the Active and Associate members of the Association at the Annual Meeting.  All Officer of the association shall be elected every two (2) years to serve an initial tow-year term, but may not serve more than tow consecutive terms (4 years) in the same officer position.
 
     Section 2.   Nominations of Officers.  The President shall appoint a nominating committee which shall make recommendations for elections.  Nominations from the floor are also in order.
 
     Section 3.   Notwithstanding the provisions of Article V, Section 1 and 2, in the event of a vacancy in the office of President occasioned by death, resignation, removal, suspension or inability to serve for any other reason, the First Vice-President shall serve as President for the remainder of the President's term.  A vacancy in the office of the 1st Vice President shall be filled by the 2nd Vic-President; a vacancy in the office of the 2nd Vice-President shall be filled by the 3rd Vice-President; a vacancy in the office of the 3rd Vice-President shall be filled by a temporary appointment by the Executive Board from active members until elections at the annual meeting.
 
  
 
ARTICLE VI
 
Duties of the Elected Officers
 
     Section 1.  President.  The president shall preside at all meetings of the Association.  In conducting meetings of the Association, the President's decision shall be final unless otherwise provided for by this Constitution.  The President's decision may be reversed by a two-thirds vote of the membership present at the regular Annual Meeting.  IF in the opinion of the President, an occasion or circumstance shall warrant calling a special meeting, they have the authority to call such meeting and shall notify the membership of the purpose, date, time and place of such meeting.  The President shall appoint the members of all committees.
 
     Section 2.  Executive Board.  The Executive Board shall have the right to accept for the Association any donations or contributions of money or property, real or personal, to be placed to the credit of the Association.  Any such monies are to be delivered to the Treasurer for deposit in the general funds of the Association.  The Board shall have control over all property or funds to the best interest of the Association.  The Board shall have the right to invest any unexpected funds remaining in the treasury at the regular Annual Meeting.  The Board shall audit the books at the Annual Meeting.  A majority of the Executive Board shall be a quorum to transact the business of the Board, which shall be governed by a majority vote of the members present.
 
     Section 3.  Treasurer.  The Treasurer shall collect all dues and make an accounting of all funds at the regular Annual Meeting.  The Treasurer shall have the authority to disburse such monies for incidental expenses such as membership cards, stationary, mailing, printing, etc. and shall make a complete report for the financial condition of the Association at regular meetings.   The Treasurer shall, at the expiration of their term of officer, account for and deliver to the successor all monies and property of the Association and perform all other duties as voted by the Association or as required by the President.
 
     Section 4.  Secretary.  It shall be the duty of the Secretary to keep a correct record of all proceedings of the Association and file documents and minutes relating thereto.  The Secretary shall preserve all books, papers and other property belonging to the Association.  The Secretary shall, on the expiration of his/her term of office, account for and deliver to the successor all property of the Association and perform all duties as voted by the Association or as required by the President..
 
     Section 5.  It shall be the duty of all officers to attend all regular meetings of the Association.  Any officer who fails to attend three consecutive regular meeting shall be removed from that office and thereby the  Executive Board of the Association.
 
ARTICLE VII
 
Committee
 
     Section 1.  All committees shall be appointed by the President of the Association and may contain active and/or associate members.
 
     Section 2.  The President may create and dissolve permanent, standing, or as hoc committees as required to fulfill the mission of the Association.  Committee members shall serve until such time as the committee is dissolved, the President removes the member, or the member is unwilling or unable to continue service on the committee.
 
ARTICLE VIII
 
Sergeant-at-Arms
 
     Section 1.  At the opening of each Annual Meeting, in the month of September each year, the President may appoint any member of the Association as Sergeant-at-Arms and such necessary assistance as may be required.
 
     Section 2.  His/her duties shall be to examine membership credentials and/or ID's of those present at the Annual Meeting and permit no unauthorized persons to be present during the meeting.  The Sergeant-at-Arms shall maintain order and shall perform any duty required by the President for the conduct of such meetings.
 
ARTICLE IX
 
Changes to Constitution
 
     Section 1.  Any changes to the Constitution shall be made by a two-thirds vote of the members present at any Annual Meeting of the Association.  Proposed changes shall be submitted in writing to the President, by active members of the Association, for initial review by the Executive Board who shall vote whether to consider any proposed changes.  If the Executive Board votes in favor of a change to the Constitution, the changes shall be annotated in a draft document and made available to the Association  voting membership for consideration and vote at the next duly called meeting of the Association.  Notice to the voting membership shall be at least 30 days prior to the actual meeting taking place.
